Data Processing Addendum (DPA)

This Data Processing Addendum (“DPA”) forms part of the agreement between the Client (“Controller”) and Jack Davis Videos (“JDV,” “Processor”) when JDV processes personal data on behalf of the Client.

1. Roles of the Parties

• The Client is the Data Controller.
• Jack Davis Videos is the Data Processor.

2. Subject Matter and Duration

JDV processes personal data solely for the purpose of delivering video production services, subscription-based video content, and related support. Processing continues for the duration of the Client’s engagement with JDV, unless otherwise required by law.

3. Nature and Purpose of Processing

JDV may process personal data to:

• Create custom-branded videos
• Manage subscriptions and orders
• Provide support and communication
• Verify DMA boundaries for exclusivity services
• Improve service quality and performance

4. Types of Personal Data and Data Subjects

Types of personal data may include:

• Names
• Contact information (email, phone)
• Business details (company name, logo)
• Customer avatars or audience descriptions
• Any data submitted for inclusion in video assets

Data subjects may include:

• Client representatives
• Client’s customers or leads (if provided)
• Prospective customers targeted in campaigns

5. Processor Obligations (JDV)

JDV agrees to:

• Process personal data only on documented instructions from the Client.
• Implement appropriate technical and organizational security measures.
• Ensure employees handling data are bound by confidentiality obligations.
• Assist the Client in responding to data subject requests where appropriate.
• Notify the Client without undue delay in the event of a data breach affecting Client data.
• Delete or return personal data upon termination of services, unless retention is required by law.

6. Sub-Processors

JDV may use third-party sub-processors (e.g., hosting providers, email systems, analytics platforms) to assist in service delivery. JDV will ensure sub-processors are bound by data protection obligations no less protective than those in this DPA.

7. International Transfers

If personal data is transferred outside the EEA/UK, JDV will implement appropriate safeguards such as Standard Contractual Clauses (SCCs) or equivalent protections, where required by law.

8. Data Subject Requests

Where the Client receives a request from a data subject to exercise their rights, JDV will provide reasonable assistance, where applicable and to the extent technically feasible.

9. Security Measures

JDV uses reasonable administrative, technical, and physical measures to protect personal data from unauthorized access, loss, or damage.

10. Term and Termination

This DPA remains in effect for as long as JDV processes personal data on behalf of the Client. Upon termination, JDV will delete or return personal data as instructed, unless retention is required by law.
